Terms of Service
1) What Trendex Is (and Isn't)
Trendex ("Trendex," "we," "us," "our") provides a software frontend that helps users discover on-chain tokens and interact with supported blockchains (currently including Solana, and potentially others), and to use launch tooling offered by Trendex or third parties (the "Platform"). Trendex is not a broker, exchange, custodian, investment adviser, underwriter, or money transmitter. We donot custody assets, execute trades, guarantee prices or liquidity, or promise any outcomes.
Tokens visible through the Platform are created by users or third parties (including athlete-related fan/utility tokens). Such tokens are not offered or sold by Trendex, and Trendex makes no representation about their legality, suitability, or value.
2) Binding Agreement
By accessing or using the Platform (including https://trendex.gg and https://app.trendex.gg) you agree to these Terms. If you do not agree, do not use the Platform. You affirm that you:
(a) are at least the age of majority in your jurisdiction (18+ in any case); (b) are not located in, or a resident/citizen of, a sanctioned or embargoed jurisdiction; and (c) are not otherwise barred from using the Platform under applicable laws.
If you act for an entity, you represent you have authority to bind that entity.
3) Access, Third Parties & No Advice
3.1 Access
We may add, change, suspend, or terminate access to any feature or area at any time, with or without notice.
3.2 Third-party integrations
The Platform may link to or integrate with third-party wallets (including social-login/embedded wallets), on-ramps/off-ramps, DEXs/AMMs, analytics, and terminals. Those services are governed by their terms and privacy notices.
3.3 No advice
Nothing on the Platform is investment, legal, accounting, tax, or other professional advice. You must make your own decisions and due diligence.
4) Wallets, Social Login & Security (Non-Custodial)
4.1 Non-custodial
Trendex doesnot hold private keys. When you connect a wallet—or create an embedded/social-login wallet—you control it.
4.2 Loss & compromise
You are solely responsible for devices, passwords, 2FA, recovery phrases, social logins, and private keys. Trendex cannot recover funds if you lose access or are compromised.
4.3 Limited data
We may process limited wallet metadata consistent with our Privacy Policy (fraud prevention, abuse mitigation, product telemetry).
4.4 Public blockchain risk
Transactions executed through public blockchains are irreversible and publicly visible. Trendex cannot modify or erase on-chain data or recover lost tokens.
5) Token Pages, User Content & Moderation
5.1 Third-party content
Token pages, metadata, allocations, claims, perks, and roadmaps may be provided by users or third parties. Trendex does not guarantee accuracy, sufficiency, legality, or fitness.
5.2 Moderation
Trendex may label, edit, geo-restrict, or remove content, token pages, or public access at our discretion (e.g., suspected fraud, illegal content, rights complaints).
5.3 No endorsement
Featuring, listing, or surfacing content does not constitute endorsement or a promise of value, utility, or availability.
5.4 Talent involvement disclaimer
Licensed talent (e.g., athletes or creators) may appear on token pages to identify or authenticate cultural works. Such talent does not manage or guarantee token value, performance, or availability, and their participation is limited to image and likeness licensing.
6) Token Purpose & Legal Characterization (Fan Utility; Not Investment)
6.1 Fan utility & cultural engagement
Athlete/community tokens surfaced on the Platform are intended for fan engagement, entertainment, and cultural expression (e.g., access to private communities, signed items, meet-and-greets, event access, or gameplay compatibility). They are not investment products and not securities.
6.2 No expectation of profit; no "enterprise"
Tokens are not offered with an investment of money in a common enterprise or with a reasonable expectation of profit based on Trendex's or a promoter's managerial or entrepreneurial efforts. Token value—if any—derives from market demand and speculation, akin to collectibles, not fromTrendex's efforts.
6.3 No promoter "efforts of others"
Trendex does not undertake managerial efforts to create token-holder profit, and no one should expect Trendex (or talent) to do so. Any creator activity (e.g., social posts) is not ongoing managerial effort to produce profits for token holders.
6.4 No buybacks, burns, dividends, revenue share, or price support
Trendex does not promise buybacks, burns, dividends, revenue sharing, token holder payouts, or price support. We do not pool user funds to run a token enterprise.
6.5 Perks & events are discretionary and not financial returns
Perks, events, and rewards are not financial returns; they are discretionary fan utilities subject to availability, eligibility, verification (including age, background, venue rules), third-party terms, and substitution or cancellation at Trendex's discretion. No cash equivalent.
6.6 No political fundraising
Trendex is not a political committee, and tokens are unrelated to political campaigns or public offices.
6.7 Club/league marks
Talent image rights generally do not include club/league logos or endorsements unless explicitly stated. Marketing avoids implying official club/league sponsorship.
6.8 Memecoins and sentiment tokens
Certain tokens surfaced on the Platform may represent cultural memes or sentiment expressions rather than functional utilities. These assets are speculative, may have no economic value, and exist for entertainment and expressive purposes only. Users should treat such participation as entertainment, not investment.
7) Fees
Trendex may charge platform fees for certain actions/features. Third-party fees (gas, AMM/LP fees, on-ramp fees) also apply and are outside our control. We may change Trendex fees at any time.
8) Your Responsibilities
8.1 Compliance
You must comply with all laws, including sanctions, AML/CFT, consumer protection, tax, and digital-asset rules that apply to you.
8.2 Prohibited uses
You may not use the Platform to violate rights, manipulate markets, commit fraud, launder money, evade sanctions, or otherwise break laws/these Terms.
8.3 Taxes
You are responsible for all taxes related to your transactions and rewards.
9) Risk Disclosures
Digital assets are extremely risky. By using the Platform, you acknowledge risks including:
protocol bugs, chain halts/forks, contract exploits; device/wallet compromise (phishing, SIM swaps, malware); extreme volatility and price collapses; illiquidity and inability to sell; third-party outages or deprecations; regulatory changes that restrict access/features; and any secondary-market trading of tokens occurs on independent third-party venues not operated or endorsed by Trendex. Trendex has no control over such venues or their prices, liquidity, or compliance status.
You may lose all value. Do not spend more than you can afford to lose.
10) Intellectual Property
The Platform (UI, marks, copy, designs) is owned by Trendex or our licensors. You receive a non-exclusive, revocablelicense to use the Platform as permitted by these Terms. You may not copy, scrape, reverse engineer, or exploit the Platform beyond permitted use. Rights complaints: [email protected].
11) Third-Party Sites & Trading Terminals
Links to third-party sites/services (DEXs, AMMs, terminals, explorers, on-ramps) are provided as-is. Trendex does notcontrol those services and is not liable for their terms, performance, fees, outages, or listing/delisting decisions.
12) Compliance, Sanctions & Export
12.1 Prohibited users
You may not use the Platform if you (or your entity) are on a sanctions list (e.g., OFAC, EU, UK, UN), are located in embargoed regions, or otherwise prohibited by law.
12.2 Controls
We may implement geo-blocks, wallet screening, and KYC/verification via providers to comply with law.
13) Forward-Looking Statements
Any statements about future features, perks, games, or integrations are forward-looking and subject to change, delay, or cancellation without liability. They do not imply token price commitments or investment prospects.
14) "AS IS" — No Warranties
The Platform is provided "AS IS" and "AS AVAILABLE." We disclaim all warranties (express/implied), including merchantability, fitness for purpose, non-infringement, error-free or uninterrupted service, or accuracy of any listing or content.
15) Limitation of Liability
To the fullest extent permitted by law, Trendex (and its affiliates, officers, employees, advisors, and service providers) will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages; or any lost profits, revenue, data, or goodwill. Our aggregate liability to you will not exceed US$500. To the fullest extent permitted by law, this limitation also applies to any licensed talent, brand partners, and their respective affiliates, representatives, and licensors associated with tokens appearing on the Platform.
16) Indemnification
You agree to defend, indemnify, and hold harmless Trendex and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of: (a) your use of the Platform; (b) your breach of these Terms; or (c) your violation of law or third-party rights.
17) Dispute Resolution; Class-Action Waiver
17.1 Governing law
Delaware law governs, without regard to conflict-of-laws rules.
17.2 Arbitration (JAMS)
Any dispute shall be resolved by binding arbitration before JAMS under its commercial rules. Venue shall be Delaware (or your U.S. county of residence when required by consumer law).
17.3 No class actions & jury waiver
Disputes must be brought individually; class/collective actions are waived. You and Trendex agree that the arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim. Jury trial is waived.
18) Privacy
See our Privacy Policy for how we collect and use data. By using the Platform, you consent to our data practices.
19) Changes; Termination
We may update these Terms and will post the effective date. Your continued use constitutes acceptance. We may suspend or terminate access at any time.
20) Miscellaneous
Entire Agreement; Assignment; Severability; Waiver.
These Terms constitute the entire agreement between you and Trendex regarding your use of the Platform and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, relating to the same subject matter.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
You may not assign, delegate, or transfer any rights or obligations under these Terms without Trendex's prior written consent. Trendex may assign or transfer these Terms, in whole or in part, without restriction.
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term, and any failure by Trendex to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
